SMART TRAFFIC APPROVED REFERRAL AGREEMENT

For each referral please email the following details to your Smart Traffic account manager and start earning your Commission right away:

Agreement

This Agreement is between Smart Traffic Ltd., by and through ("Smart Traffic") and the referral partner named below at the bottom (the "referrer") and establishes the terms and conditions for Referrer's participation in the Smart Traffic Referrer Programme (the "Programme").

Referrer

A referrer is and individual or a company or a representative of a company that introduces potential businesses to Smart Traffic and in return is paid a fee subject to that business signing a contract and paying for services with Smart Traffic. The referrer will not sell Smart Traffic products or services either directly or indirectly or contract for any Smart Traffic products and or services or similar SEO type services with any website or referred business owners directly.

Relationships

The referrer is an independent contractor engaged in referring to Smart Traffic potential prospects that might be interested in Smart Traffic products or services. Smart Traffic pay the referrer a onetime commission based on the terms and amounts agreed in this referral agreement. Smart Traffic owns the relationship with the client and all ongoing contracts are between the two contacted parties only. The referrer is not an agent or legal representative of Smart Traffic in any sense of the words or for any purpose, and has no authority to act for, bind or commit Smart Traffic to anything what so ever. The referrer agrees without exception to indemnify Smart Traffic from liability for any modified guarantee or other commitment offered by the referrer not specifically authorised in writing by Smart Traffic. The referrer will immediately change or discontinue any or all representation or business practice found to be misleading or deceptive by Smart Traffic immediately upon notice from Smart Traffic.

Commission Statements

Smart Traffic details commissions owed to referrers on a monthly basis. The COMMISSION STATEMENT issued by Smart Traffic to the referrer will show all monies owed on that date and all future monies owed to that referrer.

Payments to the referrer

Smart Traffic contracts for all the products and services it sells directly with business or website owners. Smart Traffic is solely responsible for all revenue collections for which they contract with the website owner. Smart Traffic will only deliver services to the contracted parties who have signed the contract and paid for services with Smart Traffic. Smart Traffic will pay the referrer only when all monies for the contract have been paid for in full by the contracted business. A contract only becomes commissionable once the final payment for the contract has been received in full by Smart Traffic from the contracted business. The date the final payment is made is also the date used for all commission purposes, including verifying which calendar month a payment was received in. Following the receipt of a commission statement, the referrer must invoice Smart Traffic for the commission payable amount and any VAT (if registered) for the previous period. Smart Traffic will endeavour to pay referrers within 7 days of receipt of the invoice from the referrer.

Limitation of Liability

Under no circumstances, including any infringement claims, shall Smart Traffic be liable to the referrer, or their end user clients or any other party for any re-procurement costs, lost revenue or profits or for any other special, incidental or consequential damages, even if Smart Traffic has been informed of such potential loss or damage.

Miscellaneous

This Agreement and its schedules represent the entire agreement between the parties regarding this subject. This Agreement supersedes all previous oral or written communications between the parties regarding the subject, and it may not be modified or waived except in writing and signed by an officer or other authorized representative of each party. Neither party will be liable to the other for any delay or failure to perform if that delay or failure results from a cause beyond its reasonable control. If any provision is held invalid, all other provisions shall remain valid, unless such invalidity would frustrate the purpose of this Agreement. English law governs this Agreement without consideration to that body of law referred to as "conflicts of laws". Smart Traffic and the referrer will attempt to settle any claim or controversy arising out of it through consultation and negotiation in good faith and a spirit of mutual cooperation. Any dispute which cannot be resolved through negotiation or mediation may be submitted to the courts of appropriate jurisdiction.

IN WITNESS WHEREOF the Parties have caused this Agreement to be executed on the date first written on this agreement.

By signing this agreement the referrer becomes eligible for the referrer commission payments in accordance with this document and both parties are in agreement to protectively share information to promote each other's businesses, and are in full agreement to both the terms listed on this document and the terms and conditions which are listed on the Smart Traffic website www.smart-traffic.com
